§ 1 Name and location
The Association shall be enrolled in the register and is then called
• Generation Konji e.V.
This Association is based in Nuremberg.
Fiscal year is the calendar year.
§ 2 Purpose
The purpose of the association is
the strengthening and the promotion of African consciousness in the middle of the European society. For the people of African descent, this means to revitalize and strengthen self-confidence.
The Association pursues exclusively charitable purposes within the meaning of section "tax purposes" of the tax code. In particular, it has the purpose of international understanding.
The purpose is achieved in particular through
- Fighting against all forms of racism and discrimination by any means, for example, by working together with human rights organizations or institutions and authorities, if necessary, assist those affected by means of financial support of the legal aid ..., where possible.
- Social and cultural advancement, using short and long term integrative leisure projects.
- Education and training, for example, Language, giving support through information, assistance, cooperation with existing educational organizations and institutions
- Participation in activities such as sports, music, theater, etc.
- Multicultural Education in cooperation with the Integration Board among others.
- Recreational activities such as music, theater, sports, art, literature ...
Children and young people of African origin should be given a chance to easily integrate and thereby gain the feeling, to be themselves fully part of the whole society.
§ 3 Selflessness
The Association is selflessly active; this means the Association does not pursue its own economic purposes.
Association funds may only be used for statutory purposes. Members do not receive payments from the funds of the association.
No person from may be favored through expenditures that are foreign to the purpose of the corporation or be granted disproportionately high remuneration.
On the dissolution or annulment of the association or loss of tax-favored purposes the assets of the Association shall be used directly and exclusively for free charitable and welfare nursing purposes of the association AfroKID (registered Association).
§ 4 Membership
Can become Members of the Association:
- Any natural person as full member; Minors require the consent of their legal guardians
- Natural and legal persons as corporate members
- The Bureau decides upon written request of acquisition of membership. Entry date is the date of receipt of the request. The date must be documented.
Signatures by 1st Chairman and 2. Chairman for Improvement.
In case of rejection of the application, the applicant may bring up a written request about the decision being discussed upon by the General Assembly; the final decision is made by simple majority. The General Assembly shall convene with notification of this agenda item the Board within 3 months of receipt of the request. The candidate has the right to be heard, but no voting rights and no right to be present while the decision is to be taken.
§ 5 Rights and Duties of Members
Members are required to support the interests of the Association and actively implement the decisions of the organs of the Association.
Full members have equal voting rights in the General Assembly. A vote on behalf of others is only allowed with written signed power of attorney.
§ 6 Contributions
The ordinary members pursuant to § 4 para. 1. pay an annual fee, the amount is set at the General Assembly. The fee must be paid for each calendar year or part thereof in full.
Supporting Members do not pay contributions.
The Board may individual members permanently or temporarily exempt from the requirement to post-payment.
§ 7 Termination of Membership
Membership is terminated by:
- voluntary withdrawal
- Removal from the membership
- Voluntary withdrawal can only be made at the end of a fiscal year, will be explained to the Board and shall be made in writing no later than 1 month before the end of each fiscal year.
Members who act contrary to the purpose of the association or the association ideational or material seriously harm or have not paid their contribution on the end of the financial year out despite at least two written reminders can be deleted at resolution of the Board from the membership. The member is entitled to the rights of complaint against the decision under § 4 (3).
§ 8 Bodies of the Association
Organs of the Association are:
- The General Assembly and
- The Board of Directors.
§ 9 Executive Board /
Authorized Representatives according to § 26 BGB
The Board consists of:
- The Chairman
- The second chairman
Each member of the Executive Board is authorized to act jointly with another member of the board to represent the association within the meaning of the Civil Code.
The board is elected by the General Assembly for a term of five years. The General Assembly decides in advance on the electoral procedure (secret or open election).
If a member of the Executive Board retires prior to the expiration of his term of office, a successor shall be elected by an extraordinary general meeting to be convened. The term of the newly elected member of the Executive Board ends at the same time with the rest of the board. Retiring directors must be promptly relieved by the General Assembly.
The Board is authorized for editorial amendments to the statutes and to make changes that are necessary due to complaint at the court of registration or for obtaining charitable status.
§ 10 Resolution of the Board
The Board has a quorum if both members are invited and present. The Board shall act unanimously.
§ 11 additional functions
The General Assembly also elects a treasurer and a secretary, who are not members of the board.
The General Assembly elects two auditors for a period of five years. The auditors have the task to examine the books and records annually and report to the General Assembly about it. They are only accountable to the General Assembly. The Executive Board may investigate complaints of Auditors.
§ 12 General Assembly
Each year at least one general meeting takes place.
The General Assembly decides on the following:
- The financial report;
- The discharge of the Board;
- The election of the Board,
Dissolution of the Association.
Upon written written application of at least 30% of the members of the Association, an extraordinary general meeting takes place. The General Assembly shall convene with notification of this agenda item within 1 month after receipt of the application by the Board.
§ 13 procedures, decisions
The general meeting is convened in writing by the Board. The meeting must be convened and contain the proposed agenda by the Board at least 14 days prior to the meeting. It shall be sufficient if the invitation has been given to the post for the last known address of the member 14 days prior to the General Assembly.
The General Assembly shall constitute a quorum regardless of the number of members who appeared.
Decisions are made by simple majority vote of the members present at the assembly, in case of equal votes the motion is rejected. Resolutions to amend the Articles of Association, including the change in the objectives of the association a majority of two-thirds and dissolution of the association of three quarters of the members present is required.
About the discussions and the resolutions of the General Assembly, a record must be kept; this is to be signed by the Executive Chairman of the Assembly and the Secretary.
§ 14. Dissolution of the Association
The dissolution of the association can only be decided by a statutory general meeting convened under the prior express mention of the Resolution as an agenda item and compliance with the provisions of §§ 3 (5) and 12 of the Statute.
§ 15 Entry into force
The existing statute occurs on 30/06/2010 by resolution of the General Assembly in force.
